Overview; Your Consent. The following terms (the “Terms”) provide (a) our subscription agreement, which governs our relationship with parents who establish an account with us and subscribe to the GMA Platform (our “Subscription Terms”), and (b) our terms of use, which govern use of the GMA Platform by parents and by their children and teens (our “Terms of Use”). Please read these Terms carefully. By opening an account, a Parent agrees to comply with our Subscription Terms and our Terms of Use, and to ensure that his or her children and teens comply with our Terms of Use.

Registration.

Opening a Master Account. To become a subscriber to the GMA Platform, you must (a) be 18 years of age or older, (b) be a resident of the United States, (c) be the parent or legal guardian (“Parent”) of any Child or teenager (collectively, “Youth”) for whom you provide GMA Platform access, (d) provide complete and accurate registration information, and (e) have an email account. Parents are required to create a GMA Platform Master Account (“Master Account”) by entering the information we request on the registration page. We age-gate our registration page (in the manner set out in our Privacy Policy), and include instructions on our registration page designed to restrict Master Accounts to only those users who meet the above criteria. If we learn that an ineligible user has created a Master Account, we will either request confirmation of the above criteria, or deactivate the account.

Opening Youth Accounts. To provide access to our GMA Platform, the Parent must create a sub account for each Youth the Parent authorizes to use the GMA Platform under the Parent’s Master Account (a “Youth Profile Sub Account”). A Parent is entitled to create up to five (5) Youth Profile Sub Accounts under a single Master Account. The Parent creates a Youth Profile Sub Account by entering the information specified on the associated account opening page. You must be a Youth’s Parent or legal guardian to add them under your Master Account. No Youth Profile Sub Account may be created without first creating a corresponding Master Account.

Passwords; Responsibility for Users. Each user under a Youth Profile Sub Account shall use the login information provided by the GMA Platform in connection with the Master Account. Parents are solely responsible for any and all activity that occurs while a user is logged into the Parent’s Master Account or a Youth Profile Sub Account under the Parent’s Master Account. Sharing of your Master Account beyond the number of authorized Youth Profile Sub Accounts is prohibited.

Trial Period. Depending on the circumstances, we might offer you one of two types of trial subscriptions: an opt-out trial subscription or an opt-in trial subscription, as follows.

Opt-Out Trial Subscriptions. Your subscription (“Subscription”) to the GMA Platform may start with an opt-out trial Subscription, in the form of either a free promotional trial or a discounted promotional trial (collectively, a “Promotional Trial”). Promotional Trials are "opt-out", meaning that, at the end of the Promotional Trial Period, your access to the GMA Platform will continue, and your Master Account will be automatically converted to a paid Subscription, as further provided below.

Duration of Promotional Trial. Each of the Promotional Trial periods is fourteen (14) days, but we may shorten or extend such promotional trial period offers from time to time in our discretion.

Subscription Period. When you sign-up for a Promotional Trial, you must select a subscription period (“Subscription Period”) which will start at the end of your Promotional Trial unless you cancel before the end of the Promotional Trial.

Payment Authorization; Cancellation; No Refunds for Discounted Promotional Trials. When you sign up for a Promotional Trial (either discounted or free) your Payment Method will be authorized for up to approximately one Subscription Period of service, as provided in Section 3.1(d) (Opt-Out; Payment Obligations If You Do Not Opt-Out). If you are signing up for a discounted Promotional Trial, please note that your Payment Method will be charged the discounted Promotional Trial fee. You may cancel your Promotional Trial at any time; provided, however, that no refunds will be given for payments made in connection with a discounted Promotional Trial, as further provided in Section 6.1 (Cancellation by Subscriber; no Refunds). Because we bill in advance for a subscription, if you are signing up for a free Promotional Trial, in some instances, your available balance or credit limit may be reduced to reflect the authorization; however, no charges will be made against the Payment Method if you cancel prior to the end of your free Promotional Trial period.

Opt-Out; Payment Obligations If You Do No Opt-Out. Unless you cancel prior to the end of your free or discounted Promotional Trial (as set out in Section 6 (Cancellation), the first Subscription Period will commence at the end of your Promotional Trial and then renew on the day of the month at the end of your applicable Subscription Period that corresponds with the day of the month your Subscription started. IF YOU DO NOT CANCEL, THE GMA SUBSCRIPTION SERVICE WILL CONTINUE TO BE AVAILABLE AND YOUR PAYMENT METHOD ON FILE WILL CONTINUE TO BE CHARGED AUTOMATICALLY AT THE PERIODIC GMA SUBSCRIPTION SERVICE RATE THEN IN EFFECT FOR THE APPLICABLE SUBSCRIPTION PERIOD; PROVIDED, WE SHALL GIVE YOU ADVANCE NOTICE OF MATERIAL INCREASES IN PRICE OR OTHER MATERIAL CHANGES TO THE GMA SUBSCRIPTION SERVICE. We may send you a reminder prior to the expiration of your promotional trial, but we are not obligated to do so.

Baseline Charges; Effect of Opting-Out. If you opt-out and cancel prior to the end of your Promotional Trial, there will be (1) no charges to your payment method if you registered for a free Promotional Trial; (2) only the discounted Promotional Trial fee if you registered for a discounted Promotional Trial; and (3) in no event will there be any charges for a paid subscription to your Payment Method.

Opt-In Trial Subscriptions; Risk Fee Promotional Trials. In certain instances, we may offer free promotional trials that do not require a Payment Method (“Risk Free Promotional Trials”). Risk Free Promotional Trials are “opt-in”, meaning that, at the end of a Risk Free Promotional Trial, your access to the GMA Platform will cease unless you “opt-in” and affirmatively register for a paid Subscription, as further provided below.

Duration of Risk Free Promotional Trial. The current Risk Free Promotional Trial period is fourteen (14) days, but we may shorten or extend such Risk Free Promotional Trial period offers from time to time in our discretion.

Converting A Risk Free Promotional Trial To A Paid Subscription. You may elect to convert your Risk Free Promotional Trial to a paid Subscription, by logging into your Master Account and selecting one of the Subscription Periods and taking the other steps as directed on the relevant Master Account page. We may send you a reminder prior to the expiration of your Risk Free Promotional Trial, but we are not obligated to do so.

Upon Expiration; You Must Opt-In To Obtain An Ongoing Subscription. If you do not elect to start a paid Subscription before the expiration of your Risk Free Promotional Trial period, your access to the GMA Platform will end and the Platform will become inaccessible.

One Trial Limitation. You are eligible for only one Promotional Trial or one Risk Free Promotional Trial per household. If you or another member of your household was a GMA Platform subscriber within the last thirty-six (36) months, you are not eligible to receive a promotional trial under this Section 3 (Trial Period).

Paid Subscriptions.

Selection of Subscription Period. The GMA Platform allows you to pick from a number of Subscription Periods when you sign-up, and when you sign-up, you must select a Subscription Period for your Subscription.

Commencement of First Subscription Period; Automatic Renewal. The first Subscription Period will commence either (a) when your Promotional Trial ends, (b) when you opt-in to a paid Subscription at the end of your Risk Free Promotional Trial, or (c) when you otherwise open a Master Account. Your Subscription then renews automatically on the day of the month at the end of your applicable Subscription Period that corresponds with the day of the month your Subscription started. As further provided below, fees for a Subscription Period are due on the first day of that Subscription Period, and your Payment Method accordingly will be checked and must be valid at the beginning of each Subscription Period.

Continuing Service; Continuing Automatic Payments. IF YOU DO NOT CANCEL YOUR SUBSCRIPTION, THE GMA SUBSCRIPTION SERVICE WILL CONTINUE TO BE AVAILABLE AND YOUR PAYMENT METHOD ON FILE WILL CONTINUE TO BE CHARGED AUTOMATICALLY AT THE PERIODIC GMA SUBSCRIPTION SERVICE RATE THEN IN EFFECT FOR THE APPLICABLE SUBSCRIPTION PERIOD; PROVIDED, WE SHALL GIVE YOU ADVANCE NOTICE OF MATERIAL INCREASES IN PRICE OR OTHER MATERIAL CHANGES TO THE GMA SUBSCRIPTION SERVICE. We will continue to bill your Payment Method on a Subscription Period by Subscription Period basis for your membership fee until you cancel your Subscription. Your GMA Subscription will automatically renew each applicable Subscription Period until you choose to cancel. We may send you a reminder prior to the expiration of your current Subscription Period, but we are not obligated to do so.

Billing. By signing up for your Promotional Trial and starting your Subscription, by opting-in to a paid Subscription at the end of your Risk Free Promotional Trial, or by otherwise opening a Master Account, you are expressly agreeing that we are authorized to charge your Payment Method on file the applicable Subscription Period fee (or discounted Promotional Trial fee, if applicable) at the then-current rate for the applicable Subscription Period, and any other charges you may incur in connection with your use of the GMA Platform. Your Payment Method will be authorized for up to approximately one Subscription Period as soon as you so act. In some instances, your available balance or credit limit may be reduced to reflect the authorization.

Third Party Processors; Authorization. We may use the services of one or more third party, hosting providers, processors and/or financial institutions (each a “Processor”) to process the Payment Method for your GMA Platform Subscription. BY PROVIDING PAYMENT METHOD INFORMATION, YOU EXPRESSLY AUTHORIZE HMH, ITS AGENTS, SERVICE PROVIDERS AND PROCESSORS TO CHARGE THE PAYMENT METHOD FOR THE SUBSCRIPTIONS. Your authorization will remain in full force and effect while you maintain your Subscription, unless you change your Payment Method or cancel your Subscription (as set forth in Section 6 (Cancellation).

Keeping Payment Method Information Current. You agree to keep a valid Payment Method on file with us, and if you change the Payment Method, doing so is deemed your consent for us to charge the new Payment Method hereunder. We may delay, suspend or refuse to process a Payment Method if we suspect the Payment Method is unauthorized, fraudulent, suspicious or otherwise unusual based on prior transaction activity or other fraud controls, but you are still responsible for the payment(s) due.

Card Issuer Fees; Sales Taxes; Changes in Subscription Fees. We are not responsible for any fees or interest charged directly by your card issuer. Depending on your billing address, GMA may be subject to state and local sales taxes. You may change your billing address at any time. Changing your billing address may change your sales tax liability. Any changes will be reflected in your next applicable billing period. Please note that upon notice, Subscription prices are subject to change.

Discounts and Other Offers. At any time, and for any reason, we may provide a discount, special offer, or other consideration or benefit to some or all of our GMA Platform Subscribers (“Offers”). The amount and form of such Offers, and the decision to provide them, are at our sole discretion.

Automatic Billing; Billing Date. As further specified in Section 4.3 (Continuing Service; Continuing Automatic Payments), the GMA Platform fee will be automatically billed at the beginning of each Subscription Period until you cancel your GMA Platform Subscription or we terminate it, as set forth in 6 (Cancellation). You acknowledge that the amount billed each Subscription Period may vary due to Offers, and you authorize us to charge your credit card on file for such varying amounts. Subscription fees are fully earned upon the first day of each Subscription.

Cancellation.

Cancellation by Subscriber; No Refunds. You may cancel your Promotional Trial, Risk Free Promotional Trial, or paid Subscription at any time, but WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-SUBSCRIPTION PERIODS, TRIAL PERIODS OR UNUSED ECONTENT, unless we determine, in our sole judgment, that unusual circumstances require a refund.

Subscriber Cancellation Process. To cancel, please follow the instructions for cancellation available at this location https://subscriptions.hmhco.com/gomath/FAQ#cancelling. You must cancel before the beginning of a new Subscription Period to avoid being charged for the Subscription Period, and you are responsible for payment for the remainder of the Subscription Period when you cancel during the Subscription Period. After cancellation, you will continue to have access to the GMA Platform until the end of your applicable Subscription Period.

Cancellation by HMH. We reserve the right to refuse to provide, suspend or discontinue the GMA Platform or close your Account, in whole or in part, at any time for any reason, including convenience, immediately and without notice. If we cancel your Subscription or terminate your Account for convenience and stop your access to the GMA Platform, we may in our discretion give you a pro-rated refund or credit (which may include a merchandise credit), in our sole discretion, based on the time remaining in your Subscription Period. If we terminate your Subscription or Account for your breach of these Terms or our GMA Privacy Policy, without limiting our rights and remedies, you acknowledge and agree that you shall not be entitled to any refunds or credits for any partial Subscription Periods or unused eContent, and that we may immediately terminate your access to the GMA Platform.

Access to eContent and Platform. The length of time that it takes to access eContent may vary by Device, and access and service quality may be affected by a variety of factors, such as your location and Internet speed. We use commercially reasonable efforts to make the GMA Platform available to our users and to limit downtime; however, you understand that the GMA Platform and associated eContent may not be available to you when you wish. HMH reserves the right to change or terminate eContent (including eContent components and modules) at any time, at its sole discretion.

Geographic Limitation. Currently the GMA Platform is only available to subscribers who have a billing address within the United States.

Personal Computer Requirements and Device Limitations. To access to the GMA Platform, you must use equipment that meets our system requirements, which are available for review at https://subscriptions.hmhco.com/gomath/SystemRequirements (each a “Device”). You are solely responsible for determining whether your Devices are adequate for accessing the GMA Platform and eContent. In addition, you are solely responsible for all Internet and mobile access, data, and other similar charges.

User-Generated Content. The GMA Platform allows users to input a range of information, such as answers to Go Math! Academy questions, and other information (collectively, “User Generated Content”). We do not claim any ownership in your User Generated Content, and we will use this User Generated Content only for purposes of providing the GMA Platform to you. You will have access to your User Generated Content in the standard operating manner provided by our GMA Platform; we do not offer downloads or any other access to User Generated Content. We have no obligation to retain your User Generated Content for any period of time, including, for example, no obligation to retain your User Generated Content beyond the expiration or termination of your Subscription.

Our License to You. Subject to your compliance with these Terms, we grant you a limited, non-exclusive license to access and use the GMA Platform in accordance with its available features and documentation. Except for your User Generated Content, HMH and its licensors own all content and technology available through, or embodied within the GMA Platform, including all associated intellectual property rights (“HMH Content”). HMH Content includes the GMA Software, all eContent, templates, formatting, information, software, artwork, text, video, audio, pictures, trademarks, trade dress, activities, and other components of the GMA Platform. Your license to use the GMA Platform is strictly limited; for example, you are not permitted to copy, republish, modify, reverse engineer, or seek to repurpose eContent, the GMA Software, or any other HMH Content in any way. We reserve all rights not expressly granted to you in this Section 11 (Our License to You).

Further Restrictions Concerning GMA Software. You may not copy or reproduce the GMA Software nor may you decompile, reverse engineer, disassemble, modify or create derivative works of any of the GMA Software, or any portion thereof. Any unauthorized use of the GMA Software is strictly prohibited and HMH reserves the right to not provide the GMA Software (including updates) to you at any time and to discontinue the ability to access the GMA Platform through such GMA Software at any time, without notice. GMA Software related to or made available by the GMA Platform may be subject to export controls of the U.S.A. No software from the GMA Platform may be downloaded, exported, or re-exported to any county, or to any person, entity, or end-user subject to U.S. export controls.

Code of Conduct. Under our Code of Conduct, all users agree that they will not, to the extent our GMA Platform provides the capability:
Upload, store, or disseminate materials that impact or invade the privacy of others, such as photographs, video clips, sound recordings, personally identifiable information, or other materials that reveal personal, private or sensitive information about another person, without that person’s consent;
Disseminate material that is defamatory, unlawfully harassing, intentionally false, pornographic, violent or otherwise inappropriate;
Infringe any third party’s copyright, patent, trademark, trade secret, or other proprietary right;
Transmit materials that contain viruses or other computer-programming routines that are intended to damage, detrimentally interfere with, intercept, or expropriate any system, data, or personal information;
Use the GMA Platform to artificially generate traffic or page links to a GMA Platform or for any other purpose not expressly allowed under these Terms.
Use the GMA Platform in a manner that could disable, overburden, or impair the GMA Platform or interfere with any other party’s use and enjoyment of the GMA Platform.
Seek to obtain access to any materials or information through “hacking,” “data harvesting,” or through other means we have not intentionally made available to you through the GMA Platform;
State or suggest, directly or indirectly, that HMH endorses User Generated Content;
Use the GMA Platform for any purpose that is unlawful or prohibited by these Terms. For example, you will not use the GMA Platform to violate any law, statute, or regulation (including, without limitation, those governing consumer protection, unfair competition, anti-discrimination, or false advertising).

Compliance with Code of Conduct. We will enforce the above Code of Conduct where we deem necessary and reserve the right (but do not assume any obligation) to monitor your use of the GMA Platform. In addition to such monitoring, we may employ filters designed to detect and block the transmission of User Generated Content or other information that we believe, in our discretion, contains inappropriate language, images, or other elements. We reserve the right at any time to remove your User Generated Content from some or all portions of the GMA Platform, and to terminate or suspend your access to some or all of the features of the GMA Platform if you engage in activities that we conclude, in our discretion, breach our Code of Conduct. Due to our use of monitoring, filtering, and other methods for enforcing our Code of Conduct, your activities on our GMA Platform will not remain “private” or otherwise free of our review; be assured, however, that any monitoring or other actions we take with respect to our Code of Conduct will comply fully with our Privacy Policy.

Objectionable Conduct. Although we will monitor our GMA Platform as set out in Section 14 (Compliance with Code of Conduct), we do not guarantee, or provide any assurance that users will comply with our Code of Conduct. Accordingly, you may be exposed to user language, content, or other information you find objectionable or offensive. You agree that we are not obligated to respond to, or address your objections in any manner other than the manner expressly set out in these Terms.

Technical Support. We offer certain technical support to users of our GMA Platform. This support can be obtained by contacting us as provided below (“Technical Support”). If you have questions concerning the hours when Technical Support is available, or other terms applicable to Technical Support, please feel free to ask our Technical Support personnel.

Allegations of Copyright Infringement. HMH respects the intellectual property rights of others and requires that its users do the same. HMH, ON ITS OWN BEHALF AND ON BEHALF OF ITS LICENSORS AND SERVICE PROVIDERS, HEREBY DISCLAIMS (i) ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE; (ii) ANY RESPONSIBILITY OR LIABILITY FOR THE ACCURACY, CONTENT, COMPLETENESS, OR LEGALITY OF INFORMATION AVAILABLE ON THE GMA PLATFORM OR IN HMH CONTENT; AND (iii) ANY RESPONSIBILITY OR LIABILITY FOR THE DELETION OR ALTERATION OF USER GENERATED CONTENT OR HARM RESULTING FROM DOWNLOADING OR ACCESSING INFORMATION ON THE GMA PLATFORM, INCLUDING HARM CAUSED BY VIRUSES OR SIMILAR DESTRUCTIVE FEATURES. Limitation Of Liability. UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, TORT, OR NEGLIGENCE, WILL HMH, ITS LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) THAT ARISE OUT OF OR ARE RELATED TO YOUR USE OF THE GMA PLATFORM, OR THE HMH CONTENT. IN NO EVENT WILL OUR TOTAL LIABILITY (AND THE TOTAL LIABILITY OF OUR LICENSORS AND SERVICE PROVIDERS COLLECTIVELY), WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IN THE AGGREGATE EXCEED THE LAST SUBSCRIPTION PERIOD FEE YOU PAID. Local Consumer Law. The laws of your jurisdiction may limit the effect of the warranty disclaimer and limits of liability set out in Sections 18 and 19. Please refer to the laws of your jurisdiction.

Indemnity. You agree to defend, indemnify, and hold HMH, its licensors and service providers, and its subsidiaries, affiliates, officers, directors, agents, and employees harmless from any liability to third parties, including reasonable attorneys’ fees, arising from or related to your breach of these Terms.

Duration Of Rights; Termination. The license and other rights we grant to you under these Terms will continue until the earlier of (a) your cessation of use of the GMA Platform, (b) our cessation of support for, or offering of the GMA Platform, (c) a cancellation by either of us under Section 6 (Cancellation), or (d) your failure to comply with these Terms. If you fail to comply with these Terms, the termination of your license is without prejudice to other rights and remedies HMH may hold.

Privacy and the GMA Platform. We value your privacy and the privacy of all our users. Please review our Privacy Policy for information on how we collect, use, and protect your personally identifiable information. To the extent these Terms conflict with the terms of our Privacy Policy, the terms of our Privacy Policy will control.

Submission of Feedback. Under certain circumstances, we might ask parents for feedback or ideas as to their experiences with our GMA Platform (collectively, “Feedback”). If you choose to provide us with Feedback, you acknowledge and agree (i) that you have no expectation of review, compensation or consideration of any type for the Feedback; and (ii) we will be free to use and exploit such Feedback in our discretion and without compensation or obligation to you.

Non-Transferable. Access to the GMA Platform is non-transferable.

Change in Service or Terms. Any description of how the GMA Platform works should not be considered a representation or obligation with respect to how the GMA Platform will always work. We are constantly making adjustments to the GMA Platform and often these adjustments are not completely captured within these Terms. We reserve the right to make changes to the GMA Platform and changes to these Terms consistent with applicable law.

General. These Terms shall be governed in all respects by the laws of the Commonwealth of Massachusetts without giving effect to its conflicts of law provisions. Both parties submit to the exclusive jurisdiction of and venue in the state and federal courts in the Commonwealth of Massachusetts, in the judicial district where HMH resides. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. HMH’s failure to act with respect to non-compliance by a user does not waive its right to act with respect to subsequent or similar non-compliance. These Terms set forth the entire understanding and agreement between us with respect to the subject matter of these Terms and supersede any prior or contemporaneous understanding, whether written or oral.

Definitions.
“Account” means the Master Account of a Parent and any sub-accounts the Parent authorizes for associated Youths under the Parent’s Master Account.
“Child” means an individual who is under the age of 13.
“Device” means a computing device that meets our system requirements for the GMA Platform. Our system requirements are available as set out in Section 9 (Personal Computer Requirements and Device Limitations.
“GMA Software” means software developed by, or for, HMH that is designed to enable access to eContent from Devices. This software may vary by Device. For example, this software may be embedded in a Device or we may offer this software to be downloaded onto a Device or it may be available via an existing internet browser.
“Master Account” means the account created by a Parent, from which the Parent accesses the GMA Platform, and authorizes his or her Children and teens to access the GMA Platform.
“Parent” means the parent or legal guardian of a Youth, and who meets the other criteria set out in Section 2.1 (Opening a Master Account).
“Payment Method” means valid credit card account information from a U.S. bank or issuer. Debit cards, gift cards and other stored value cards are currently not acceptable as Payment Methods.
“Subscription” means the time-limited right to access the GMA Platform in accordance with these Terms.
“Subscription Period” means the duration of your Subscription. We currently offer the following Subscription Periods, but reserve the right to offer different periods in the future: 1 month, 6 months, and 12 months.
“User” means a Parent, Youth, or other individual acting under an authorized Account.
“We” or “us” or “our” refers to HMH.
“Youth” means a Child or older teen whose Parent has provided him or her with access to the Parent’s Master Account.
