    • Go Math! Academy Terms of Use and Subscription Agreement

      Welcome to the GO MATH! ACADEMY learning platform (the “GMA Platform”). We are an online tutorial subscription service, providing registered users with access to videos, learning modules, practice tests, problem sets and other content (“eContent”).

      1. Overview; Your Consent. The following terms (the “Terms”) provide (a) our subscription agreement, which governs our relationship with parents who establish an account with us and subscribe to the GMA Platform (our “Subscription Terms”), and (b) our terms of use, which govern use of the GMA Platform by parents and by their children and teens (our “Terms of Use”). Please read these Terms carefully. By opening an account, a Parent agrees to comply with our Subscription Terms and our Terms of Use, and to ensure that his or her children and teens comply with our Terms of Use.

      2. Registration.

        1. Opening a Master Account. To become a subscriber to the GMA Platform, you must (a) be 18 years of age or older, (b) be a resident of the United States, (c) be the parent or legal guardian (“Parent”) of any Child or teenager (collectively, “Youth”) for whom you provide GMA Platform access, (d) provide complete and accurate registration information, and (e) have an email account. Parents are required to create a GMA Platform Master Account (“Master Account”) by entering the information we request on the registration page. We age-gate our registration page (in the manner set out in our Privacy Policy), and include instructions on our registration page designed to restrict Master Accounts to only those users who meet the above criteria. If we learn that an ineligible user has created a Master Account, we will either request confirmation of the above criteria, or deactivate the account.

        2. Opening Youth Accounts. To provide access to our GMA Platform, the Parent must create a sub account for each Youth the Parent authorizes to use the GMA Platform under the Parent’s Master Account (a “Youth Profile Sub Account”). A Parent is entitled to create up to five (5) Youth Profile Sub Accounts under a single Master Account. The Parent creates a Youth Profile Sub Account by entering the information specified on the associated account opening page. You must be a Youth’s Parent or legal guardian to add them under your Master Account. No Youth Profile Sub Account may be created without first creating a corresponding Master Account.

        3. Passwords; Responsibility for Users. Each user under a Youth Profile Sub Account shall use the login information provided by the GMA Platform in connection with the Master Account. Parents are solely responsible for any and all activity that occurs while a user is logged into the Parent’s Master Account or a Youth Profile Sub Account under the Parent’s Master Account. Sharing of your Master Account beyond the number of authorized Youth Profile Sub Accounts is prohibited.

      3. Trial Period. Depending on the circumstances, we might offer you one of two types of trial subscriptions: an opt-out trial subscription or an opt-in trial subscription, as follows.

        1. Opt-Out Trial Subscriptions. Your subscription (“Subscription”) to the GMA Platform may start with an opt-out trial Subscription, in the form of either a free promotional trial or a discounted promotional trial (collectively, a “Promotional Trial”). Promotional Trials are "opt-out", meaning that, at the end of the Promotional Trial Period, your access to the GMA Platform will continue, and your Master Account will be automatically converted to a paid Subscription, as further provided below.

          1. Duration of Promotional Trial. Each of the Promotional Trial periods is fourteen (14) days, but we may shorten or extend such promotional trial period offers from time to time in our discretion.

          2. Subscription Period. When you sign-up for a Promotional Trial, you must select a subscription period (“Subscription Period”) which will start at the end of your Promotional Trial unless you cancel before the end of the Promotional Trial.

          3. Payment Authorization; Cancellation; No Refunds for Discounted Promotional Trials. When you sign up for a Promotional Trial (either discounted or free) your Payment Method will be authorized for up to approximately one Subscription Period of service, as provided in Section 3.1(d) (Opt-Out; Payment Obligations If You Do Not Opt-Out). If you are signing up for a discounted Promotional Trial, please note that your Payment Method will be charged the discounted Promotional Trial fee. You may cancel your Promotional Trial at any time; provided, however, that no refunds will be given for payments made in connection with a discounted Promotional Trial, as further provided in Section 6.1 (Cancellation by Subscriber; no Refunds). Because we bill in advance for a subscription, if you are signing up for a free Promotional Trial, in some instances, your available balance or credit limit may be reduced to reflect the authorization; however, no charges will be made against the Payment Method if you cancel prior to the end of your free Promotional Trial period.

          4. Opt-Out; Payment Obligations If You Do No Opt-Out. Unless you cancel prior to the end of your free or discounted Promotional Trial (as set out in Section 6 (Cancellation), the first Subscription Period will commence at the end of your Promotional Trial and then renew on the day of the month at the end of your applicable Subscription Period that corresponds with the day of the month your Subscription started. IF YOU DO NOT CANCEL, THE GMA SUBSCRIPTION SERVICE WILL CONTINUE TO BE AVAILABLE AND YOUR PAYMENT METHOD ON FILE WILL CONTINUE TO BE CHARGED AUTOMATICALLY AT THE PERIODIC GMA SUBSCRIPTION SERVICE RATE THEN IN EFFECT FOR THE APPLICABLE SUBSCRIPTION PERIOD; PROVIDED, WE SHALL GIVE YOU ADVANCE NOTICE OF MATERIAL INCREASES IN PRICE OR OTHER MATERIAL CHANGES TO THE GMA SUBSCRIPTION SERVICE. We may send you a reminder prior to the expiration of your promotional trial, but we are not obligated to do so.

          5. Baseline Charges; Effect of Opting-Out. If you opt-out and cancel prior to the end of your Promotional Trial, there will be (1) no charges to your payment method if you registered for a free Promotional Trial; (2) only the discounted Promotional Trial fee if you registered for a discounted Promotional Trial; and (3) in no event will there be any charges for a paid subscription to your Payment Method.

        2. Opt-In Trial Subscriptions; Risk Fee Promotional Trials. In certain instances, we may offer free promotional trials that do not require a Payment Method (“Risk Free Promotional Trials”). Risk Free Promotional Trials are “opt-in”, meaning that, at the end of a Risk Free Promotional Trial, your access to the GMA Platform will cease unless you “opt-in” and affirmatively register for a paid Subscription, as further provided below.

          1. Duration of Risk Free Promotional Trial. The current Risk Free Promotional Trial period is fourteen (14) days, but we may shorten or extend such Risk Free Promotional Trial period offers from time to time in our discretion.

          2. Converting A Risk Free Promotional Trial To A Paid Subscription. You may elect to convert your Risk Free Promotional Trial to a paid Subscription, by logging into your Master Account and selecting one of the Subscription Periods and taking the other steps as directed on the relevant Master Account page. We may send you a reminder prior to the expiration of your Risk Free Promotional Trial, but we are not obligated to do so.

          3. Upon Expiration; You Must Opt-In To Obtain An Ongoing Subscription. If you do not elect to start a paid Subscription before the expiration of your Risk Free Promotional Trial period, your access to the GMA Platform will end and the Platform will become inaccessible.

        3. One Trial Limitation. You are eligible for only one Promotional Trial or one Risk Free Promotional Trial per household. If you or another member of your household was a GMA Platform subscriber within the last thirty-six (36) months, you are not eligible to receive a promotional trial under this Section 3 (Trial Period).

      4. Paid Subscriptions.

        1. Selection of Subscription Period. The GMA Platform allows you to pick from a number of Subscription Periods when you sign-up, and when you sign-up, you must select a Subscription Period for your Subscription.

        2. Commencement of First Subscription Period; Automatic Renewal. The first Subscription Period will commence either (a) when your Promotional Trial ends, (b) when you opt-in to a paid Subscription at the end of your Risk Free Promotional Trial, or (c) when you otherwise open a Master Account. Your Subscription then renews automatically on the day of the month at the end of your applicable Subscription Period that corresponds with the day of the month your Subscription started. As further provided below, fees for a Subscription Period are due on the first day of that Subscription Period, and your Payment Method accordingly will be checked and must be valid at the beginning of each Subscription Period.

        3. Continuing Service; Continuing Automatic Payments. IF YOU DO NOT CANCEL YOUR SUBSCRIPTION, THE GMA SUBSCRIPTION SERVICE WILL CONTINUE TO BE AVAILABLE AND YOUR PAYMENT METHOD ON FILE WILL CONTINUE TO BE CHARGED AUTOMATICALLY AT THE PERIODIC GMA SUBSCRIPTION SERVICE RATE THEN IN EFFECT FOR THE APPLICABLE SUBSCRIPTION PERIOD; PROVIDED, WE SHALL GIVE YOU ADVANCE NOTICE OF MATERIAL INCREASES IN PRICE OR OTHER MATERIAL CHANGES TO THE GMA SUBSCRIPTION SERVICE. We will continue to bill your Payment Method on a Subscription Period by Subscription Period basis for your membership fee until you cancel your Subscription. Your GMA Subscription will automatically renew each applicable Subscription Period until you choose to cancel. We may send you a reminder prior to the expiration of your current Subscription Period, but we are not obligated to do so.

      5. Billing. By signing up for your Promotional Trial and starting your Subscription, by opting-in to a paid Subscription at the end of your Risk Free Promotional Trial, or by otherwise opening a Master Account, you are expressly agreeing that we are authorized to charge your Payment Method on file the applicable Subscription Period fee (or discounted Promotional Trial fee, if applicable) at the then-current rate for the applicable Subscription Period, and any other charges you may incur in connection with your use of the GMA Platform. Your Payment Method will be authorized for up to approximately one Subscription Period as soon as you so act. In some instances, your available balance or credit limit may be reduced to reflect the authorization.

        1. Third Party Processors; Authorization. We may use the services of one or more third party, hosting providers, processors and/or financial institutions (each a “Processor”) to process the Payment Method for your GMA Platform Subscription. BY PROVIDING PAYMENT METHOD INFORMATION, YOU EXPRESSLY AUTHORIZE HMH, ITS AGENTS, SERVICE PROVIDERS AND PROCESSORS TO CHARGE THE PAYMENT METHOD FOR THE SUBSCRIPTIONS. Your authorization will remain in full force and effect while you maintain your Subscription, unless you change your Payment Method or cancel your Subscription (as set forth in Section 6 (Cancellation).

        2. Keeping Payment Method Information Current. You agree to keep a valid Payment Method on file with us, and if you change the Payment Method, doing so is deemed your consent for us to charge the new Payment Method hereunder. We may delay, suspend or refuse to process a Payment Method if we suspect the Payment Method is unauthorized, fraudulent, suspicious or otherwise unusual based on prior transaction activity or other fraud controls, but you are still responsible for the payment(s) due.

        3. Card Issuer Fees; Sales Taxes; Changes in Subscription Fees.  We are not responsible for any fees or interest charged directly by your card issuer. Depending on your billing address, GMA may be subject to state and local sales taxes. You may change your billing address at any time. Changing your billing address may change your sales tax liability. Any changes will be reflected in your next applicable billing period. Please note that upon notice, Subscription prices are subject to change.

        4. Discounts and Other Offers. At any time, and for any reason, we may provide a discount, special offer, or other consideration or benefit to some or all of our GMA Platform Subscribers (“Offers”). The amount and form of such Offers, and the decision to provide them, are at our sole discretion.

        5.  Automatic Billing; Billing Date. As further specified in Section 4.3 (Continuing Service; Continuing Automatic Payments), the GMA Platform fee will be automatically billed at the beginning of each Subscription Period until you cancel your GMA Platform Subscription or we terminate it, as set forth in 6 (Cancellation). You acknowledge that the amount billed each Subscription Period may vary due to Offers, and you authorize us to charge your credit card on file for such varying amounts. Subscription fees are fully earned upon the first day of each Subscription.

      6. Cancellation.

        1. Cancellation by Subscriber; No Refunds. You may cancel your Promotional Trial, Risk Free Promotional Trial, or paid Subscription at any time, but WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-SUBSCRIPTION PERIODS, TRIAL PERIODS OR UNUSED ECONTENT, unless we determine, in our sole judgment, that unusual circumstances require a refund.

        2. Subscriber Cancellation Process.  To cancel, please follow the instructions for cancellation available at this location https://subscriptions.hmhco.com/gomath/FAQ#cancelling. You must cancel before the beginning of a new Subscription Period to avoid being charged for the Subscription Period, and you are responsible for payment for the remainder of the Subscription Period when you cancel during the Subscription Period. After cancellation, you will continue to have access to the GMA Platform until the end of your applicable Subscription Period.

        3. Cancellation by HMH. We reserve the right to refuse to provide, suspend or discontinue the GMA Platform or close your Account, in whole or in part, at any time for any reason, including convenience, immediately and without notice. If we cancel your Subscription or terminate your Account for convenience and stop your access to the GMA Platform, we may in our discretion give you a pro-rated refund or credit (which may include a merchandise credit), in our sole discretion, based on the time remaining in your Subscription Period. If we terminate your Subscription or Account for your breach of these Terms or our GMA Privacy Policy, without limiting our rights and remedies, you acknowledge and agree that you shall not be entitled to any refunds or credits for any partial Subscription Periods or unused eContent, and that we may immediately terminate your access to the GMA Platform.

      7. Access to eContent and Platform. The length of time that it takes to access eContent may vary by Device, and access and service quality may be affected by a variety of factors, such as your location and Internet speed. We use commercially reasonable efforts to make the GMA Platform available to our users and to limit downtime; however, you understand that the GMA Platform and associated eContent may not be available to you when you wish. HMH reserves the right to change or terminate eContent (including eContent components and modules) at any time, at its sole discretion.

      8. Geographic Limitation. Currently the GMA Platform is only available to subscribers who have a billing address within the United States.

      9. Personal Computer Requirements and Device Limitations. To access to the GMA Platform, you must use equipment that meets our system requirements, which are available for review at https://subscriptions.hmhco.com/gomath/SystemRequirements (each a “Device”). You are solely responsible for determining whether your Devices are adequate for accessing the GMA Platform and eContent. In addition, you are solely responsible for all Internet and mobile access, data, and other similar charges.

      10. User-Generated Content. The GMA Platform allows users to input a range of information, such as answers to Go Math! Academy questions, and other information (collectively, “User Generated Content”). We do not claim any ownership in your User Generated Content, and we will use this User Generated Content only for purposes of providing the GMA Platform to you. You will have access to your User Generated Content in the standard operating manner provided by our GMA Platform; we do not offer downloads or any other access to User Generated Content. We have no obligation to retain your User Generated Content for any period of time, including, for example, no obligation to retain your User Generated Content beyond the expiration or termination of your Subscription.

      11. Our License to You. Subject to your compliance with these Terms, we grant you a limited, non-exclusive license to access and use the GMA Platform in accordance with its available features and documentation. Except for your User Generated Content, HMH and its licensors own all content and technology available through, or embodied within the GMA Platform, including all associated intellectual property rights (“HMH Content”). HMH Content includes the GMA Software, all eContent, templates, formatting, information, software, artwork, text, video, audio, pictures, trademarks, trade dress, activities, and other components of the GMA Platform. Your license to use the GMA Platform is strictly limited; for example, you are not permitted to copy, republish, modify, reverse engineer, or seek to repurpose eContent, the GMA Software, or any other HMH Content in any way. We reserve all rights not expressly granted to you in this Section 11 (Our License to You).

      12. Further Restrictions Concerning GMA Software. You may not copy or reproduce the GMA Software nor may you decompile, reverse engineer, disassemble, modify or create derivative works of any of the GMA Software, or any portion thereof. Any unauthorized use of the GMA Software is strictly prohibited and HMH reserves the right to not provide the GMA Software (including updates) to you at any time and to discontinue the ability to access the GMA Platform through such GMA Software at any time, without notice. GMA Software related to or made available by the GMA Platform may be subject to export controls of the U.S.A. No software from the GMA Platform may be downloaded, exported, or re-exported to any county, or to any person, entity, or end-user subject to U.S. export controls.

      13. Code of Conduct. Under our Code of Conduct, all users agree that they will not, to the extent our GMA Platform provides the capability:

        • Upload, store, or disseminate materials that impact or invade the privacy of others, such as photographs, video clips, sound recordings, personally identifiable information, or other materials that reveal personal, private or sensitive information about another person, without that person’s consent;

        • Disseminate material that is defamatory, unlawfully harassing, intentionally false, pornographic, violent or otherwise inappropriate;

        • Infringe any third party’s copyright, patent, trademark, trade secret, or other proprietary right;

        • Transmit materials that contain viruses or other computer-programming routines that are intended to damage, detrimentally interfere with, intercept, or expropriate any system, data, or personal information;

        • Use the GMA Platform to artificially generate traffic or page links to a GMA Platform or for any other purpose not expressly allowed under these Terms.

        • Use the GMA Platform in a manner that could disable, overburden, or impair the GMA Platform or interfere with any other party’s use and enjoyment of the GMA Platform.

        • Seek to obtain access to any materials or information through “hacking,” “data harvesting,” or through other means we have not intentionally made available to you through the GMA Platform;

        • State or suggest, directly or indirectly, that HMH endorses User Generated Content;

        • Use the GMA Platform for any purpose that is unlawful or prohibited by these Terms. For example, you will not use the GMA Platform to violate any law, statute, or regulation (including, without limitation, those governing consumer protection, unfair competition, anti-discrimination, or false advertising).

      14. Compliance with Code of Conduct. We will enforce the above Code of Conduct where we deem necessary and reserve the right (but do not assume any obligation) to monitor your use of the GMA Platform. In addition to such monitoring, we may employ filters designed to detect and block the transmission of User Generated Content or other information that we believe, in our discretion, contains inappropriate language, images, or other elements. We reserve the right at any time to remove your User Generated Content from some or all portions of the GMA Platform, and to terminate or suspend your access to some or all of the features of the GMA Platform if you engage in activities that we conclude, in our discretion, breach our Code of Conduct. Due to our use of monitoring, filtering, and other methods for enforcing our Code of Conduct, your activities on our GMA Platform will not remain “private” or otherwise free of our review; be assured, however, that any monitoring or other actions we take with respect to our Code of Conduct will comply fully with our Privacy Policy.

      15. Objectionable Conduct. Although we will monitor our GMA Platform as set out in Section 14 (Compliance with Code of Conduct), we do not guarantee, or provide any assurance that users will comply with our Code of Conduct. Accordingly, you may be exposed to user language, content, or other information you find objectionable or offensive. You agree that we are not obligated to respond to, or address your objections in any manner other than the manner expressly set out in these Terms.

      16. Technical Support. We offer certain technical support to users of our GMA Platform. This support can be obtained by contacting us as provided below (“Technical Support”). If you have questions concerning the hours when Technical Support is available, or other terms applicable to Technical Support, please feel free to ask our Technical Support personnel.

      17. Allegations of Copyright Infringement. HMH respects the intellectual property rights of others and requires that its users do the same. If you believe that content on the GMA Platform constitutes infringement of a work protected by copyright, please notify our agent, designated under the Digital Millennium Copyright Act (17 U.S.C. §512) (the “DMCA”) to respond to such concerns, as follows:

        Your notice must comply with the DMCA. Upon receipt of a compliant notice, we will respond and proceed in accordance with the DMCA, including its notice and takedown provisions.

      18. Warranty Disclaimer. THE GMA PLATFORM IS PROVIDED BY HMH AND ITS LICENSORS AND SERVICE PROVIDERS ON AN “AS IS” BASIS. HMH, ON ITS OWN BEHALF AND ON BEHALF OF ITS LICENSORS AND SERVICE PROVIDERS, HEREBY DISCLAIMS (i) ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE; (ii) ANY RESPONSIBILITY OR LIABILITY FOR THE ACCURACY, CONTENT, COMPLETENESS, OR LEGALITY OF INFORMATION AVAILABLE ON THE GMA PLATFORM OR IN HMH CONTENT; AND (iii) ANY RESPONSIBILITY OR LIABILITY FOR THE DELETION OR ALTERATION OF USER GENERATED CONTENT OR HARM RESULTING FROM DOWNLOADING OR ACCESSING INFORMATION ON THE GMA PLATFORM, INCLUDING HARM CAUSED BY VIRUSES OR SIMILAR DESTRUCTIVE FEATURES. YOU EXPRESSLY AGREE THAT USE OF THE GMA PLATFORM IS AT YOUR SOLE RISK.

      19. Limitation Of Liability. UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, TORT, OR NEGLIGENCE, WILL HMH, ITS LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) THAT ARISE OUT OF OR ARE RELATED TO YOUR USE OF THE GMA PLATFORM, OR THE HMH CONTENT. IN NO EVENT WILL OUR TOTAL LIABILITY (AND THE TOTAL LIABILITY OF OUR LICENSORS AND SERVICE PROVIDERS COLLECTIVELY), WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IN THE AGGREGATE EXCEED THE LAST SUBSCRIPTION PERIOD FEE YOU PAID. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR SUBSCRIPTION.

      20. Local Consumer Law. The laws of your jurisdiction may limit the effect of the warranty disclaimer and limits of liability set out in Sections 18 and 19. Please refer to the laws of your jurisdiction.

      21. Indemnity. You agree to defend, indemnify, and hold HMH, its licensors and service providers, and its subsidiaries, affiliates, officers, directors, agents, and employees harmless from any liability to third parties, including reasonable attorneys’ fees, arising from or related to your breach of these Terms.

      22. Duration Of Rights; Termination. The license and other rights we grant to you under these Terms will continue until the earlier of (a) your cessation of use of the GMA Platform, (b) our cessation of support for, or offering of the GMA Platform, (c) a cancellation by either of us under Section 6 (Cancellation), or (d) your failure to comply with these Terms.  If you fail to comply with these Terms, the termination of your license is without prejudice to other rights and remedies HMH may hold.

      23. Privacy and the GMA Platform. We value your privacy and the privacy of all our users. Please review our Privacy Policy for information on how we collect, use, and protect your personally identifiable information. To the extent these Terms conflict with the terms of our Privacy Policy, the terms of our Privacy Policy will control.

      24. Submission of Feedback. Under certain circumstances, we might ask parents for feedback or ideas as to their experiences with our GMA Platform (collectively, “Feedback”). If you choose to provide us with Feedback, you acknowledge and agree (i) that you have no expectation of review, compensation or consideration of any type for the Feedback; and (ii) we will be free to use and exploit such Feedback in our discretion and without compensation or obligation to you.

      25. Non-Transferable. Access to the GMA Platform is non-transferable.

      26. Change in Service or Terms. Any description of how the GMA Platform works should not be considered a representation or obligation with respect to how the GMA Platform will always work. We are constantly making adjustments to the GMA Platform and often these adjustments are not completely captured within these Terms. We reserve the right to make changes to the GMA Platform and changes to these Terms consistent with applicable law.

      27. General. These Terms shall be governed in all respects by the laws of the Commonwealth of Massachusetts without giving effect to its conflicts of law provisions. Both parties submit to the exclusive jurisdiction of and venue in the state and federal courts in the Commonwealth of Massachusetts, in the judicial district where HMH resides. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.  HMH’s failure to act with respect to non-compliance by a user does not waive its right to act with respect to subsequent or similar non-compliance. These Terms set forth the entire understanding and agreement between us with respect to the subject matter of these Terms and supersede any prior or contemporaneous understanding, whether written or oral.

      28. Definitions.

        “Account” means the Master Account of a Parent and any sub-accounts the Parent authorizes for associated Youths under the Parent’s Master Account.

        “Child” means an individual who is under the age of 13.

        “Device” means a computing device that meets our system requirements for the GMA Platform. Our system requirements are available as set out in Section 9 (Personal Computer Requirements and Device Limitations.

        “GMA Software” means software developed by, or for, HMH that is designed to enable access to eContent from Devices. This software may vary by Device. For example, this software may be embedded in a Device or we may offer this software to be downloaded onto a Device or it may be available via an existing internet browser.

        “Master Account” means the account created by a Parent, from which the Parent accesses the GMA Platform, and authorizes his or her Children and teens to access the GMA Platform.

        “Parent” means the parent or legal guardian of a Youth, and who meets the other criteria set out in Section 2.1 (Opening a Master Account).

        “Payment Method” means valid credit card account information from a U.S. bank or issuer. Debit cards, gift cards and other stored value cards are currently not acceptable as Payment Methods.

        “Subscription” means the time-limited right to access the GMA Platform in accordance with these Terms.

        “Subscription Period” means the duration of your Subscription. We currently offer the following Subscription Periods, but reserve the right to offer different periods in the future: 1 month, 6 months, and 12 months.

        “User” means a Parent, Youth, or other individual acting under an authorized Account.

        “We” or “us” or “our” refers to HMH.

        “Youth” means a Child or older teen whose Parent has provided him or her with access to the Parent’s Master Account.

      Bienvenido a la plataforma de aprendizaje GO MATH! ACADEMY (la “plataforma GMA”). Brindamos un servicio de suscripción a tutorías en línea que ofrece a los usuarios inscritos acceso a videos, módulos de aprendizaje, pruebas de práctica, conjuntos de problemas y otro contenido (“contenido electrónico”).

      1. Información general; su consentimiento. Los siguientes términos (los “términos”) brindan (a) nuestro acuerdo de suscripción, el cual rige nuestra relación con los padres que abren una cuenta con nosotros y se suscriben a la plataforma GMA (nuestros “términos de suscripción”); y (b) nuestros términos de uso, los cuales rigen el uso que los padres y sus niños y adolescentes hacen de la plataforma GMA (nuestros “términos de uso”). Lea estos términos detenidamente. Al abrir una cuenta, los padres aceptan cumplir con nuestros términos de suscripción y con nuestros términos de uso, y se asegurarán de que sus niños y adolescentes cumplirán con nuestros términos de uso.

      2. Inscripción.

        1. Cómo abrir una cuenta principal. Para convertirse en un suscriptor de la plataforma GMA, usted debe (a) tener 18 años de edad o más; (b) ser residente de los Estados Unidos; (c) ser el padre, madre o tutor legal (“padre”) de cualquier niño o adolescente (en conjunto, el “joven”) a quien usted le da acceso a la plataforma GMA; (d) presentar la información completa y precisa de inscripción; y (e) tener una cuenta de correo electrónico. Se requiere que los padres creen una cuenta principal en la plataforma GMA (“cuenta principal”) al ingresar la información que le solicitamos en la página de inscripción. Nuestra página de inscripción contiene un sistema de verificación de edad (según se describe en nuestra política de privacidad) e incluye instrucciones (en nuestra página de inscripción) diseñadas para limitar las cuentas principales únicamente a aquellas personas que cumplen con los criterios antedichos. Si nos enteramos de que un usuario que no cumple con estos criterios ha creado una cuenta principal, le solicitaremos confirmación de los criterios anteriores o desactivaremos la cuenta.

        2. Cómo abrir cuentas para jóvenes. Para brindar acceso a nuestra plataforma GMA, los padres deben crear una cuenta transitoria para cada joven que reciba autorización de los padres para utilizar la plataforma GMA bajo la cuenta principal de los padres (una “cuenta transitoria con el perfil del joven”). Los padres tienen derecho a crear un máximo de cinco (5) cuentas transitorias con los perfiles de los jóvenes bajo una sola cuenta principal. Los padres crean una cuenta transitoria con el perfil del joven al ingresar la información especificada en la página de apertura de la cuenta asociada. Usted debe ser uno de los padres o tutores legales del joven a fin de agregarlos a su cuenta principal. No se podrá crear ninguna cuenta transitoria con el perfil del joven sin antes crear una cuenta principal.

        3. Contraseñas; responsabilidad de los usuarios. Cada usuario que tenga una cuenta transitoria con el perfil del joven deberá utilizar la información de inicio de sesión provista por la plataforma GMA en conexión con la cuenta principal. Los padres son los únicos responsables de cualquier y toda actividad que ocurra mientras un usuario tiene una sesión abierta en la cuenta principal de los padres o en una cuenta transitoria con el perfil del joven bajo la cuenta principal de los padres. Se prohíbe la divulgación de su cuenta principal más allá de la cantidad de cuentas transitorias con los perfiles de los jóvenes.

      3. Período de prueba. Según las circunstancias, podríamos ofrecerle una de dos suscripciones de prueba: una suscripción de prueba con la opción a darse de baja, o una suscripción de prueba con la opción a darse de alta.

        1. Suscripciones de prueba con la opción a darse de baja. Su suscripción (“suscripción”) a la plataforma GMA podría comenzar con una suscripción de prueba con la opción de darse de baja, en la forma de una prueba de promoción gratuita o con un descuento (en conjunto, la “prueba de promoción”). Las pruebas de promoción con la opción de “darse de baja” son aquellas cuyo acceso a la plataforma GMA continuará después de que finalice su período de prueba de promoción, y su cuenta principal se convertirá automáticamente en una suscripción de pago, como se describe a continuación.

          1. Duración de la prueba de promoción. Cada uno de los períodos de la prueba de promoción es de catorce (14) días, pero podríamos acortar o extender este período de prueba de promoción cada cierto tiempo, según nuestro criterio.

          2. Período de suscripción. Cuando usted se inscribe en una prueba de promoción, debe seleccionar un período de suscripción (“período de suscripción”), el cual comenzará después de que su prueba de promoción finalice, a menos que usted lo cancele antes de que la prueba de promoción finalice.

          3. Autorización de pago; cancelación; no reembolsos por pruebas de promoción ofrecidas con un descuento. Cuando usted se inscribe en una prueba de promoción (ya sea gratuita o con un descuento), se autorizará su método de pago para un máximo aproximado de un período de suscripción al servicio, según se indica en la Sección 3.1(d) (Darse de baja; obligaciones de pago si no se da de baja). Si usted se inscribe en una prueba de promoción con un descuento, tenga en cuenta que se cobrará a su método de pago la tarifa con descuento por la prueba de promoción. Usted puede cancelar su prueba de promoción en cualquier momento. Sin embargo, no recibirá reembolso por los pagos hechos en conexión con la prueba de promoción con un descuento, según se indica en la Sección 6.1 (Cancelación por parte del suscriptor; no hay reembolsos). LE NOTIFICAREMOS CON ANTELACIÓN DE AUMENTOS SIGNIFICATIVOS EN EL PRECIO O DE OTROS CAMBIOS SIGNIFICATIVOS EN EL SERVICIO DE SUSCRIPCIÓN A GMA. Podríamos enviarle un recordatorio antes del vencimiento de su prueba de promoción, pero no tenemos la obligación de hacerlo.

          5. Cargos iniciales; efecto de darse de baja. Si usted se da de baja y cancela el servicio antes de que finalice su prueba de promoción, (1) no se cobrarán cargos a su método de pago si usted se inscribió en una prueba de promoción gratuita; (2) solo se cobrará la tarifa con descuento por la prueba de promoción si usted se inscribió en una prueba de promoción con descuento; y (3) no se cobrará nada a su método de pago por una suscripción de pago.

        2. Suscripciones de prueba con la opción a darse de alta; pruebas de promoción sin riesgo. En algunas instancias, podríamos ofrecer pruebas de promoción gratuitas que no requieren un método de pago (“pruebas de promoción sin riesgo”). Las pruebas de promoción sin riesgo con la opción de “darse de alta” son aquellas cuyo acceso a la plataforma GMA cesará después de que finalice su período de prueba de promoción sin riesgo, a menos que usted se “dé de alta” y se inscriba en una suscripción de pago, como se describe a continuación.

          3. A partir del vencimiento, usted debe darse de alta para obtener una suscripción continua. Si usted no elige comenzar una suscripción de pago antes del vencimiento del período de su prueba de promoción sin riesgo, su acceso a la plataforma GMA finalizará y la plataforma será inaccesible.

        3. Límite de una prueba. Usted puede elegir solo una prueba de promoción o una prueba de promoción sin riesgo por unidad familiar. Si usted u otro miembro de su unidad familiar fue un suscriptor de la plataforma GMA en los pasados treinta y seis (36) meses, no es elegible para recibir una prueba de promoción, según se indica en la Sección 3 (Período de prueba).

      4. Suscripciones de pago.

        1. Selección de un período de suscripción. La plataforma GMA le permite elegir uno de varios períodos de suscripción cuando se inscribe; al inscribirse, debe seleccionar un período de suscripción para su suscripción.

        2. Comienzo del primer período de suscripción; renovación automática. El primer período de suscripción comenzará (a) cuando su prueba de promoción termine; (b) cuando usted se da de alta para una suscripción de pago al finalizar su prueba de promoción sin riesgo; o (c) cuando usted abre una cuenta principal. Luego, su suscripción se renovará automáticamente el día del mes al final de su período de suscripción, el cual corresponde con el día del mes en que comenzó su suscripción. Según se indica a continuación, usted debe pagar las tarifas para un período de suscripción el primer día de ese período de suscripción, y debe verificar que su método de pago sea válido al comienzo de cada período de suscripción.

        3. Servicio continuo; pagos automáticos continuos. SI USTED NO CANCELA, EL SERVICIO DE SUSCRIPCIÓN A GMA CONTINUARÁ DISPONIBLE Y SE SEGUIRÁ COBRANDO AUTOMÁTICAMENTE A SU MÉTODO DE PAGO EN NUESTROS ARCHIVOS LA TARIFA PERIÓDICA EN LA TASA VIGENTE PARA EL PERÍODO DE SUSCRIPCIÓN A GMA CORRESPONDIENTE. LE NOTIFICAREMOS CON ANTELACIÓN DE AUMENTOS SIGNIFICATIVOS EN EL PRECIO O DE OTROS CAMBIOS SIGNIFICATIVOS EN EL SERVICIO DE SUSCRIPCIÓN A GMA. Continuaremos la facturación de su método de pago por la tarifa de membresía por cada período de suscripción hasta que usted cancele su suscripción. Su suscripción a GMA se renovará automáticamente en cada período de suscripción hasta que usted elija cancelar. Podríamos enviarle un recordatorio antes del vencimiento de su período de suscripción actual, pero no tenemos la obligación de hacerlo.

      5. Facturación. Al inscribirse en su prueba de promoción y comenzar su suscripción, al darse de alta para una suscripción de pago al final de su prueba de promoción sin riesgo o al abrir una cuenta principal, usted nos autoriza expresamente a cobrar a su método de pago en nuestros archivos la tarifa correspondiente por el período de suscripción (o la tarifa con descuento por la prueba de promoción, si corresponde) en la tasa vigente para el período de suscripción correspondiente, así como cualquier otros cargos en los que usted pueda incurrir en relación con su uso de la plataforma GMA. Se autorizará su método de pago para un máximo aproximado de un período de suscripción tan pronto como usted lo decida. En algunas instancias, su saldo disponible o límite de crédito podría verse reducido para reflejar la autorización.

        1. Procesadores terceros; autorización. Podríamos utilizar los servicios de uno o más terceros, proveedores de alojamiento, procesadores y/o instituciones financieras (cada uno conocido como “procesador”) para procesar el método de pago para su suscripción a la plataforma GMA. AL PROPORCIONAR LA INFORMACIÓN DEL MÉTODO DE PAGO, USTED AUTORIZA EXPRESAMENTE A HMH, A SUS AGENTES, A SUS PROVEEDORES DE SERVICIO Y A SUS PROCESADORES A COBRAR UN CARGO A SU MÉTODO DE PAGO POR LAS SUSCRIPCIONES. Su autorización se mantendrá en pleno vigor y vigencia mientras usted mantenga su suscripción, a menos que cambie su método de pago o cancele su suscripción (según se indica en la Sección 6 [Cancelación]).

        2. Cómo mantener la información de su método de pago al día. Usted acepta mantener un método de pago válido en nuestros archivos, y si usted cambia el método de pago, se considerará su consentimiento para que en adelante cobremos un cargo a su nuevo método de pago. Podríamos retrasar, suspender o rehusar el procesamiento de un método de pago si sospechamos que este es de naturaleza no autorizada, fraudulenta, sospechosa o inusual, basándonos en transacciones anteriores o en controles de fraude, pero usted sigue siendo responsable del (de los) pago(s) pendiente(s).

        3. Tarifas del emisor de tarjetas; impuestos por ventas; cambios en las tarifas de suscripción. No somos responsables de ninguna tarifa o interés que su emisor de tarjetas le cobre directamente. Dependiendo de su dirección de facturación, GMA podría estar sujeto a impuestos sobre ventas estatales y locales. Usted puede cambiar su dirección de facturación en cualquier momento. Cambiar su dirección de facturación podría alterar su responsabilidad de impuestos sobre ventas. Cualquier cambio se reflejará en su próximo período de facturación correspondiente. Tenga en cuenta que, tras un aviso, los precios de suscripción están sujetos a cambio.

        4. Descuentos y otras ofertas. En cualquier momento y por cualquier motivo, podríamos brindar un descuento, oferta especial u otra consideración o beneficio a algunos o a todos nuestros suscriptores de la plataforma GMA (“ofertas”). La cantidad y la forma de estas ofertas, y la decisión de brindarlas, es a nuestro criterio exclusivo.

        5. Facturación automática; fecha de facturación. Como se indicó en más detalle en la Sección 4.3 (Servicio continuo; pagos automáticos continuos), la tarifa de la plataforma GMA se facturará automáticamente al comienzo de cada período de suscripción hasta que usted cancele su suscripción a la plataforma GMA o nosotros la suspendamos, según se indica en la Sección 6 (Cancelación). Usted reconoce que el monto facturado en cada período de suscripción podría variar debido a las ofertas, y usted nos autoriza a cobrar un cargo a su tarjeta de crédito en nuestros archivos por los diversos montos. Las tarifas de suscripción se cobran en su totalidad el primer día de cada suscripción.

      6. Cancelación.

        1. Cancelación por parte del suscriptor; no hay reembolsos. Usted puede cancelar su prueba de promoción, prueba de promoción sin riesgo o suscripción de pago en cualquier momento, pero NO BRINDAMOS REEMBOLSOS NI CRÉDITO POR NINGÚN PERÍODO DE SUSCRIPCIÓN PARCIAL, PERÍODO DE PRUEBA NI CONTENIDO ELECTRÓNICO NO UTILIZADO, a menos que determinemos, a nuestro criterio exclusivo, que se puede hacer un reembolso si circunstancias inusuales lo ameritan.

        2. Proceso de cancelación del suscriptor. Para cancelar, siga las instrucciones de cancelación disponiblesen. Debe cancelar antes del comienzo del nuevo período de suscripción para evitar recibir un cargo por el período de suscripción. Usted es responsable del pago por el resto del período de suscripción cuando lo cancele durante el período de suscripción. Después de la cancelación, usted continuará teniendo acceso a la plataforma GMA hasta que finalice su período de suscripción correspondiente.

        3. Cancelación por parte de HMH. Nos reservamos el derecho de rehusarnos a proveer, de suspender o de discontinuar la plataforma GMA o de cerrar su cuenta, parcial o totalmente, en cualquier momento y por cualquier motivo, incluyendo por conveniencia, inmediatamente y sin aviso previo. Si cancelamos su suscripción o suspendemos su cuenta por conveniencia, y suspendemos su acceso a la plataforma GMA, podríamos, a nuestro criterio, darle un reembolso o crédito prorrateado (el cual podría incluir un crédito de mercancía), a nuestro criterio exclusivo, según el tiempo restante de su período de suscripción. Si suspendemos su suscripción o su cuenta por violación a estos términos o a nuestra política de privacidad de GMA, sin limitación de nuestros derechos y recursos, usted reconoce y acepta que no tendrá derecho a ningún reembolso ni crédito por ningún período de suscripción parcial ni por el contenido electrónico no utilizado, y reconoce que podríamos suspender su acceso a la plataforma GMA.

      7. Acceso al contenido electrónico y a la plataforma. El tiempo que tome acceder al contenido electrónico podría variar según el dispositivo, y el acceso y la calidad de servicio podría verse afectado por diversos factores, como su ubicación y la velocidad de Internet. Hacemos los esfuerzos comercialmente razonables para que la plataforma GMA esté disponible para nuestros usuarios y para limitar la inactividad. Sin embargo, usted comprende que la plataforma GMA y el contenido electrónico asociado podrían no estar disponibles cuando usted lo desee. HMH ser reserva el derecho de cambiar o suspender el contenido electrónico (incluidos los componentes y módulos del contenido electrónico) en cualquier momento, a su criterio exclusivo.

      8. Limitación geográfica. Actualmente, la plataforma GMA está disponible únicamente para suscriptores con direcciones de facturación dentro de los Estados Unidos.

      9. Requisitos de computadoras personales y limitaciones de dispositivos. Para acceder a la plataforma GMA, debe utilizar un equipo que cumpla con nuestros requisitos de sistemas, los cuales puede revisar en (cada uno conocido como “dispositivo”). Usted es responsable de determinar si sus dispositivos son adecuados para acceder a la plataforma GMA y al contenido electrónico. Además, usted es responsable de pagar todos los cargos por Internet y acceso móvil, plan de datos y otros cargos de naturaleza similar.

      10. Contenido generado por el usuario. La plataforma GMA permite que los usuarios ingresen una variedad de información, como respuestas a las preguntas de Go Math! Academy y otra información (en conjunto, “contenido generado por el usuario”). No alegamos ninguna propiedad sobre este contenido generado por el usuario, y utilizaremos dicho contenido generado por el usuario solo para fines de brindarle el servicio de la plataforma GMA. Tendrá acceso al contenido generado por el usuario de la manera estándar operativa provista por nuestra plataforma GMA; no ofrecemos descargas ni ningún otro acceso al contenido generado por el usuario. No tenemos la obligación de retener el contenido generado por el usuario por ningún período; por ejemplo, no tenemos la obligación de retener el contenido generado por el usuario más allá de la fecha de vencimiento o de finalización de su suscripción.

      11. Nuestra licencia para usted. Sujeto a su cumplimiento con estos términos, le otorgamos una licencia limitada y no exclusiva para el acceso y uso de la plataforma GMA de conformidad con sus funcionalidades y documentación disponibles. Excepto por el contenido generado por el usuario, HMH y sus licenciantes son propietarios de todo el contenido y la tecnología disponible a través de, o incorporada dentro de, la plataforma GMA, incluidos todos los derechos de propiedad intelectual asociados (“contenido de HMH”). El contenido de HMH incluye el software de GMA, todo el contenido electrónico, las plantillas, el formato, la información, el trabajo artístico, el texto, los videos, el audio, las imágenes, las marcas comerciales, la imagen comercial, las actividades y otros componentes de la plataforma GMA. Su licencia de utilizar la plataforma GMA está estrictamente limitada; por ejemplo, no se le permite copiar, volver a publicar, modificar, aplicar ingeniería inversa o intentar reaplicar el contenido electrónico, el software de GMA ni otro contenido de HMH de ninguna manera.       12. Restricciones adicionales relacionadas con el software de GMA. Usted no puede copiar ni reproducir el software de GMA, ni puede descompilar, aplicar ingeniería inversa, desensamblar, modificar ni crear obras derivadas de ninguna parte del software de GMA. Se prohíbe estrictamente cualquier uso no autorizado del software de GMA, y HMH se reserva el derecho de no brindarle a usted el software de GMA (incluidas sus actualizaciones) en ningún momento, y de discontinuar la capacidad de acceder a la plataforma GMA mediante el software de GMA en cualquier momento y sin aviso previo. El software de GMA relacionado o disponible a través de la plataforma GMA podría estar sujeto a los controles de exportación de los Estados Unidos. Ningún software de la plataforma GMA podrá ser descargado, exportado o reexportado a ningún país, persona, entidad o usuario final sujeto a los controles de exportación de los Estados Unidos.

      13. Código de conducta. En virtud de nuestro Código de conducta y en la medida en que nuestra plataforma GMA les brinde la capacidad, todos los usuarios aceptan no hacer lo siguiente:

        • Cargar, almacenar o diseminar materiales que invadan o tengan un impacto sobre la privacidad de otras personas, tales como fotografías, videoclips, grabaciones de audio, información de carácter personal u otro material que revele información personal, privada o sensible acerca de otra persona, sin el consentimiento de esa persona;

        • Diseminar material difamatorio, de acoso ilícito, deliberadamente falso, pornográfico, violento o de otra naturaleza inapropiado;

        • Violar los derechos de autor, patentes, marcas comerciales, secretos comerciales u otro derecho que sea propiedad de proveedores terceros;

        • Transmitir materiales que contengan virus u otras rutinas de programación informática con la intención de dañar, interferir de forma perjudicial, interceptar o expropiar sistemas, datos o información personal;

        • Utilizar la plataforma GMA para generar artificialmente tráfico o enlaces de páginas a una plataforma GMA, o para cualquier otro fin que no está permitido expresamente bajo estos términos;

        • Utilizar la plataforma GMA de manera que pueda inhabilitar, sobrecargar o perjudicar la plataforma GMA, o interferir con el uso y el disfrute que cualquier persona haga de la plataforma GMA;

        • Intentar obtener acceso a cualquier material o información a través de “hacking”, recopilación de datos u otro medio que no hayamos puesto a su disposición de manera intencional a través de la plataforma GMA;

        • Establecer o sugerir, de manera directa o indirecta, que HMH respalda el contenido generado por el usuario;

        • Utilizar la plataforma GMA para cualquier fin que sea ilícito o que esté prohibido por estos términos. Por ejemplo, usted no utilizará la plataforma GMA para violar ninguna ley, estatuto o regulación (inclusive entre otras, aquellas que rigen sobre la protección del consumidor, competencia desleal, discriminación o publicidad engañosa).

      14. Cumplimiento con el Código de conducta. Haremos cumplir el Código de conducta anterior cuando lo consideremos necesario, y nos reservamos el derecho (sin asumir ninguna obligación) de monitorizar su uso de la plataforma GMA. Además de implementar dicha monitorización, podríamos emplear filtros para detectar y bloquear la transmisión del contenido generado por el usuario o de otra información que, a nuestro criterio, consideremos que contiene lenguaje, imágenes u otros elementos de carácter inapropiado. Nos reservamos el derecho, en cualquier momento, de eliminar el contenido generado por el usuario de algunas o todas las partes de la plataforma GMA, y de dar por terminado o suspender su acceso a algunas o todas las funcionalidades de la plataforma GMA si usted lleva a cabo actividades que, a nuestro criterio, consideremos violaciones al Código de conducta. Debido a nuestro uso de métodos de monitorización, filtrado y de otros tipos para hacer cumplir nuestro Código de conducta, sus actividades en nuestra plataforma GMA no serán de carácter privado y estarán disponibles para nuestra revisión. Sin embargo, le aseguramos que cualquier monitorización o acción de otro tipo que llevemos a cabo respetará nuestro Código de conducta y cumplirá de lleno con nuestra política de privacidad.

      15. Conducta censurable. A pesar de que monitorizamos nuestra plataforma GMA según se indica en la Sección 14 (Cumplimiento con el Código de conducta), no garantizamos ni aseguramos que los usuarios cumplirán con nuestro Código de conducta. Como consecuencia, usted podría estar expuesto a lenguaje, contenido u otra información de usuarios que usted podría considerar censurable u ofensiva. Usted acepta que no tenemos la obligación de responder ni abordar sus objeciones de ninguna manera que no sea la que se establece expresamente en estos términos.

      16. Soporte técnico. Ofrecemos cierto soporte técnico a los usuarios de nuestra plataforma GMA. Usted puede obtener este soporte al contactarnos según figura a continuación (“Soporte técnico”).       17. Acusaciones de violación a los derechos de autor. HMH respeta los derechos de propiedad intelectual de otras entidades y exige a sus usuarios a hacer lo mismo. Si usted cree que el contenido de la plataforma GMA constituye una violación de un trabajo protegido por los derechos de autor, notifíquelo a nuestro agente de la siguiente manera para responder a estas inquietudes en virtud de la Ley de Derechos de Autor del Milenio Digital (Código de los Estados Unidos 17, artículo 512) (Digital Millennium Copyright Act o “DMCA”):

HMH, POR SU CUENTA Y EN NOMBRE DE SUS LICENCIANTES Y PROVEEDORES DE SERVICIO, POR ESTE MEDIO, RENUNCIA A (i) TODAS LAS GARANTÍAS, EXPRESAS O IMPLÍCITAS, INCLUIDA CUALQUIER GARANTÍA DE COMERCIALIZACIÓN, DE NO VIOLACIÓN Y DE IDONEIDAD PARA UN FIN DETERMINADO; (ii) TODA RESPONSABILIDAD POR LA EXACTITUD, CONTENIDO, COMPLETITUD O LEGALIDAD DE LA INFORMACIÓN DISPONIBLE EN LA PLATAFORMA GMA O EN EL CONTENIDO DE HMH; Y (iii) CUALQUIER RESPONSABILIDAD POR LA ELIMINACIÓN O ALTERACIÓN DEL CONTENIDO GENERADO POR EL USUARIO, O POR EL DAÑO QUE RESULTE DE LA DESCARGA O ACCESO A LA INFORMACIÓN EN LA PLATAFORMA GMA, INCLUIDOS DAÑOS CAUSADOS POR VIRUS O FUNCIONALIDADES DESTRUCTIVAS DE CARÁCTER SIMILAR. USTED ACEPTA EXPRESAMENTE QUE EL USO QUE HAGA DE LA PLATAFORMA GMA ES BAJO SU PROPIO RIESGO.

      19. Limitación de responsabilidad. BAJO NINGUNA CIRCUNSTANCIA (INCLUSIVE ENTRE OTRAS, VIOLACIÓN DE CONTRATO, AGRAVIO O NEGLIGENCIA), HMH, SUS LICENCIANTES O PROVEEDORES DE SERVICIO SERÁN RESPONSABLES DE NINGÚN DAÑO DIRECTO, INDIRECTO, ESPECIAL, INCIDENTAL, PUNITIVO, EJEMPLAR O CONSECUENTE (INCLUIDA LA PÉRDIDA DE GANANCIAS) QUE SURJA DE, O SE RELACIONE CON, SU USO DE LA PLATAFORMA GMA O DEL CONTENIDO DE HMH. EN NINGÚN CASO NUESTRA RESPONSABILIDAD TOTAL (Y LA RESPONSABILIDAD TOTAL DE NUESTROS LICENCIANTES Y PROVEEDORES DE SERVICIO, EN CONJUNTO), YA SEA POR CONTRATO, GARANTÍA, AGRAVIO (INCLUIDA LA NEGLIGENCIA) O POR OTRO FACTOR EN SU CONJUNTO EXCEDERÁ LA TARIFA POR EL PERÍODO DE SUSCRIPCIÓN QUE USTED PAGÓ. ESTAS EXCLUSIONES Y LIMITACIONES DE RESPONSABILIDAD SE APLICARÁN EN LA MEDIDA QUE LO PERMITA LA LEY, Y SOBREVIVIRÁN LA CANCELACIÓN O FINALIZACIÓN DE SU SUSCRIPCIÓN.

      20. Ley local para los consumidores. Las leyes de su jurisdicción podrían limitar el efecto del descargo de responsabilidad de garantía y los límites de responsabilidad establecidos en las Secciones 18 y 19. Consulte las leyes de su jurisdicción.

      21. Indemnización. Usted acepta defender, indemnizar y exonerar a HMH, sus licenciantes y sus proveedores de servicio, y a sus subsidiarias, afiliados, oficiales, directores, agentes y empleados de cualquier responsabilidad a terceros, incluidos los honorarios razonables de abogados, que surja o se relacione con su violación de estos términos.

      22. Duración de derechos; finalización. La licencia y otros derechos que le otorguemos en virtud de estos términos continuarán hasta lo que ocurra primero: (a) su cese al uso de la plataforma GMA; (b) nuestro cese de ofrecer la plataforma GMA o de brindar soporte; (c) la cancelación por parte suya o por nuestra parte, según se indica en la Sección 6 (Cancelación); o (d) su falta de cumplimiento con estos términos. Si usted no cumple con estos términos, su licencia finalizará sin prejuicio de otros derechos y recursos que HMH pueda mantener.

      23. Privacidad y la plataforma GMA. Valoramos su privacidad y la de todos nuestros usuarios. Revise nuestra política de privacidad en para obtener más información acerca de cómo recopilamos, utilizamos y protegemos su información de carácter personal. En la medida en que estos términos entren en conflicto con los términos de nuestra política de privacidad, regirán los términos de la política de privacidad.

      24. Envío de opiniones. Bajo determinadas circunstancias, podríamos pedir a los padres que compartan opiniones o ideas acerca de sus experiencias con nuestra plataforma GMA (en conjunto, “opiniones”). Si usted elige enviarnos sus opiniones, reconoce y acepta que (i) usted no debe esperar una revisión, compensación o consideración de ningún tipo por sus opiniones; y (ii) tendremos la libertad de utilizar y explotar estas opiniones a nuestro criterio y sin compensación ni obligación para usted.

      25. No transferibilidad. El acceso a la plataforma GMA no es transferible.

      26. Cambios en el servicio o en los términos. Cualquier descripción de cómo funciona la plataforma GMA no debe ser considerada como una representación u obligación con respecto a cómo funcionará siempre la plataforma GMA. Estamos haciendo ajustes constantes a la plataforma GMA y, a menudo, estos términos no capturan estos ajustes por completo. Nos reservamos el derecho de hacer cambios a la plataforma GMA y a estos términos de conformidad con la ley correspondiente.

      27. Asuntos generales. Estos términos estarán regidos en todos los aspectos por las leyes de la Mancomunidad de Massachusetts, sin tener efecto sobre los conflictos de disposiciones legales. Ambas partes están sujetas a la jurisdicción exclusiva y a los tribunales estatales y federales de la Mancomunidad de Massachusetts, en el distrito judicial donde reside HMH. Si cualquier disposición de este acuerdo se invalida o no es aplicable, dicha disposición se suprimirá y se deberán aplicar las disposiciones restantes. La inactividad de HMH ante el incumplimiento de un usuario no anula su derecho de actuar con respecto a un incumplimiento posterior o similar. Estos términos exponen el acuerdo completo entre nosotros con respecto al asunto de estos términos, y sustituyen todo entendimiento o acuerdo previo o contemporáneo, escrito u oral.

      28. Definiciones.

        “Cuenta” es la cuenta principal de los padres y cualquier cuenta transitoria que estos autoricen para los jóvenes asociados bajo la cuenta principal de los padres.

        “Niño” es una persona menor de 13 años de edad.

        “Dispositivo” es un dispositivo de computación que cumple con nuestros requisitos de sistemas para la plataforma GMA. Nuestros requisitos de sistemas están disponibles en la Sección 9 (Requisitos de computadoras personales y limitaciones de dispositivos).

        “Software de GMA” es el software desarrollado por o para HMH, que está diseñado para habilitar el acceso al contenido electrónico de los dispositivos. Este software puede variar según el dispositivo. Por ejemplo, este software podría estar integrado en un dispositivo, podríamos ofrecer la descarga de este software para un dispositivo, o la descarga podría estar disponible a través de un navegador de Internet.

        “Cuenta principal” es la cuenta creada por los padres, desde la cual acceden a la plataforma GMA y autorizan el acceso de sus niños y adolescentes a la plataforma GMA.

        “Padres” son el padre, madre o tutores legales de un joven, quienes cumplen con los otros criterios estipulados en la Sección 2.1 (Cómo abrir una cuenta principal).

        “Método de pago” es la información de una cuenta de tarjeta de crédito válida de un banco o emisor estadounidense. Actualmente no se aceptan tarjetas de débito, tarjetas de regalo ni otras tarjetas de valor almacenadas como métodos de pago.

        “Suscripción” es el derecho de acceso por tiempo limitado a la plataforma GMA de conformidad con estos términos.

        “Período de suscripción” es la duración de su suscripción. Actualmente ofrecemos los siguientes períodos de suscripción, pero nos reservamos el derecho de ofrecer otros períodos en el futuro: 1 mes, 6 meses y 12 meses.

        “Usuarios” son los padres, jóvenes u otras personas que utilizan una cuenta autorizada.

        “Nosotros”, “nuestro” o “nuestra” se refiere a HMH.

        “Joven” es un niño o adolescente cuyos padres le han brindado acceso a la cuenta principal de los padres.
